### Payment
- Consultations: paid in full before the session
- Long-term: 50% deposit at contract signature, balance at delivery
- No work starts without payment received in bank account

### Cancellation
- More than 48h before: full refund minus 20% admin fee
- 24-48h before: 50% retained
- Less than 24h or no-show: no refund
- Mission cancellation: time spent is billed at agreed daily rate

### Intellectual property
- Code and deliverables remain consultant's property until full payment
- After full payment: client receives unlimited non-exclusive license for internal use
- Full IP transfer possible on express request (premium rate, formal deed per French IP Code L131-3)
- Consultant retains right to reuse generic methods, tools, and know-how

### Scope changes
- Any change requires written, signed amendment
- Oral agreements, emails, informal exchanges do not constitute contract modification
- Work outside original scope without amendment is billed at current daily rate

### Late payment
- Automatic penalties at ECB refinancing rate + 10 percentage points
- 40 EUR flat recovery fee per invoice (French Commercial Code D441-5)
